CONCIERGE SERVICES Terms & Conditions
This Agreement ("Agreement") is made and entered into on the date the form on the CONCIERGE SERVICES is submitted, by and between:

1. Scope of Services
The Service Provider agrees to provide visual inspection services for the Client's Property during the winter months, specified by client verbally or written in text or email. The services shall include non-intrusive visual inspections of the property to identify potential issues and facilitate repair services as necessary upon the Client's request.
2. Visual Inspection Services
The Client agrees to:
Routine visual inspection services will be invoiced monthly and shall be payable within 30 days from the date of issuance. Client will be invoiced on a monthly basis, regardless of the contract start date. Prorated months will not be provided and refunds will not be granted if a 'Pause' in service is requested. An example of a 'Pause' in service would be the client asking for the Service Provider to skip an inspection for any reason. The Client shall be invoiced for the repair services as incurred, along with the applicable management fee.
6. Indemnification
The Client agrees to indemnify and hold harmless the Service Provider and its agents, employees, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including but not limited to reasonable attorney's fees and court costs, arising out of or related to:

Either party may terminate this Agreement with written notice to the other party if they breach any material term of this Agreement.
8. Confidentiality
Both parties agree to keep all information exchanged during the course of this Agreement confidential.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of New Jersey.

1. Scope of Services
The Service Provider agrees to provide visual inspection services for the Client's Property during the winter months, specified by client verbally or written in text or email. The services shall include non-intrusive visual inspections of the property to identify potential issues and facilitate repair services as necessary upon the Client's request.
2. Visual Inspection Services
- The Service Provider shall conduct visual inspections of the property (Frequency defined by selected service package on CONCIERGE SERVICES page) to check for signs of damage, security breaches, water leaks, or any other issues.
- The Service Provider shall provide email status update reports to the Client after each inspection, outlining the current condition of the property and any concerns observed.
- In the event that repairs are needed and upon the Client's request, the Service Provider shall engage third-party repair services on behalf of the Client.
- The Client authorizes the Service Provider to oversee the repair process and agrees to pay for the repair services as incurred, plus a management fee. The management fee shall be 10% of the total repair cost or $250, whichever is higher.
The Client agrees to:
- Provide the Service Provider with access to the property, including keys or security codes, necessary to perform the visual inspections and facilitate repairs.
- Promptly inform the Service Provider of any issues requiring repair services they deem necessary.

The Client agrees to indemnify and hold harmless the Service Provider and its agents, employees, and subcontractors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including but not limited to reasonable attorney's fees and court costs, arising out of or related to:
- Any injury to persons or damage to property that may occur at the property, except to the extent caused by the gross negligence or willful misconduct of the Service Provider; and
- Any claims, demands, suits, or actions made or brought against the Service Provider by third parties arising out of or related to the Client's use of the services provided under this Agreement, including any claims related to the facilitation of repair services by third parties.
7. Termination
Either party may terminate this Agreement with written notice to the other party if they breach any material term of this Agreement.
8. Confidentiality
Both parties agree to keep all information exchanged during the course of this Agreement confidential.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of New Jersey.
